CNC VOX — Terms and Conditions

Last updated: 5 November 2026.

KWILADAMA PTY LTD (ABN 14 650 865 268), trading as CNC VOX ("CNC VOX", "we", "us"), supplies custom-manufactured goods, CNC cutting and machining services, and separately scoped CAD, drafting, design and prototyping services.

1. Application and order documents

1.1 These Terms and Conditions apply to an order where they are supplied or brought to the customer's attention before the order is accepted, subject to any different terms expressly agreed in writing by both parties. Mere availability of these terms on our website does not, by itself, establish acceptance.

1.2 The accepted written quotation, purchase order as accepted by CNC VOX, agreed drawings and specifications, and agreed written variations are the Order Documents. They identify the specific goods or services being purchased. A particular Order Document prevails over these general terms to the extent of an inconsistency expressly agreed by CNC VOX in writing.

1.3 A quotation may identify one or more separate work packages: Manufacture to Customer Specification, Manufacturing Services on Customer-Supplied Material, and Design Services. Where an order includes more than one package, the scope and deliverables of each should be identified separately.

1.4 Unless a written quotation expressly states that the customer's acceptance will create a binding agreement, a customer purchase order is a proposal to purchase and does not bind CNC VOX until CNC VOX confirms acceptance in writing. CNC VOX may decline any proposed order, at its discretion and for any reason including convenience, before a binding agreement is formed. Once an order is binding, any cancellation or refusal to perform is governed by the Order Documents and applicable law.

2. Manufacture to customer-supplied designs and specifications

2.1 Unless the Order Documents expressly include Design Services, CNC VOX's role is to source any agreed materials, manufacture or machine components, and supply the finished goods in accordance with the customer's approved drawings, files and specifications.

2.2 The customer is responsible for providing complete, accurate and internally consistent design information, including relevant drawings or CAD files, dimensions, tolerances, material requirements, quantities, finishes and any critical functional or regulatory requirements. The customer remains responsible for its product concept and design decisions, including assessing suitability for its intended end use, except to the extent CNC VOX has expressly undertaken that responsibility in an agreed Design Services scope or applicable law provides otherwise.

2.3 CNC VOX is responsible for carrying out the agreed manufacturing work with due care and skill and for conformity with the agreed manufacturing specifications, subject to applicable law. CNC VOX does not undertake independent engineering verification, certification, testing of the completed product's end-use performance, or a comprehensive review for design errors unless expressly included in the Order Documents.

2.4 CNC programming, toolpath generation, nesting, setup, or routine file preparation needed to manufacture an approved customer design is part of the manufacturing process. Those activities do not, of themselves, mean CNC VOX has undertaken responsibility for the product's underlying design. Advice or a suggested adjustment during manufacture does not transfer design responsibility unless the parties expressly agree to a corresponding Design Services scope.

2.5 If CNC VOX identifies an apparent inconsistency or needs clarification, it may pause the affected work and seek written instructions or approval. The parties will agree any resulting changes to cost or timing before proceeding. A request for clarification does not constitute an obligation to detect every error in customer information.

3. CAD, drafting, design and development services

3.1 Design Services apply only where a written quotation or agreed variation expressly describes design, CAD modelling, drafting, product development, design-for-manufacture, prototyping design, or related professional deliverables to be provided by CNC VOX.

3.2 The Order Documents must identify the intended outputs, such as CAD models, 2D drawings, DXF/STEP files, bills of materials, prototypes, review stages, and any agreed revision allowance. Services or deliverables not expressly included are outside scope.

3.3 CNC VOX will exercise reasonable care and skill within the agreed Design Services scope. The customer must review and approve design outputs before manufacture or use, including confirming intended function, critical dimensions, interfaces and requirements known to the customer. Customer approval does not remove any legal responsibility CNC VOX has for its own design work.

3.4 Unless expressly included and provided by appropriately qualified persons, Design Services do not include independent engineering certification, structural certification, regulatory approval, or proof of compliance with standards applicable to the finished product or its installation. Specialist testing, certification or approval should be separately arranged where required.

3.5 A change to approved design requirements or a request for additional work may require a written variation to the scope, fees and delivery estimate before the additional work is undertaken.

4. Materials sourced by CNC VOX

4.1 Unless the Order Documents specify customer-supplied material, CNC VOX will source and provide the materials necessary for the agreed manufacturing scope.

4.2 The agreed material type, grade, thickness and other specified characteristics will be those stated in the Order Documents. CNC VOX will obtain the customer's approval before making a material substitution that differs from an agreed specification.

4.3 Normal manufacturing and supplier variations may occur within the material specification. Where colour, appearance, grain, cell structure, flatness or batch consistency is critical, the customer must identify and agree the required standard before manufacture. This clause does not limit any non-excludable rights relating to materials supplied by CNC VOX.

5. Customer-supplied materials

5.1 CNC VOX may agree, at its discretion, to cut, machine or process material supplied by the customer. Such work is primarily a processing service on the customer's material; the material's ownership remains with the customer. The fact that CNC VOX processes that material does not remove any responsibility that applicable law places on CNC VOX.

5.2 The customer is responsible for supplying material of the agreed type, condition, quantity, dimensions and suitability for the requested process, and for disclosing known defects, unusual properties, previous treatments and critical handling instructions. CNC VOX may inspect material for visible issues but does not undertake comprehensive testing for hidden defects unless expressly agreed.

5.3 Processing risks: Cutting and machining are irreversible processes. Even where reasonable care and skill are exercised, customer-supplied material may be consumed or affected by unavoidable kerf, offcuts, fixture points, permitted test cuts, or inherent material behaviour, including cracking, tearing, delamination, movement, warping or surface variation. Where these risks are reasonably foreseeable and material, CNC VOX will seek to identify and agree appropriate processing steps or test cuts before proceeding.

5.4 To the extent permitted by law, CNC VOX is not responsible for loss or damage to customer-supplied materials to the extent caused by defects or unsuitable characteristics of those materials, incomplete or incorrect customer instructions, or inherent and unavoidable risks of the agreed process despite CNC VOX exercising due care and skill. This is not a blanket exclusion: CNC VOX remains responsible to the extent that loss or damage results from its failure to use due care and skill, its breach of the agreed processing scope, or a liability that cannot lawfully be excluded.

5.5 The customer should identify and disclose in advance any unusual or high replacement value, irreplaceable material, or material requiring special handling or insurance. CNC VOX may request suitable test pieces, extra stock, an amended process or separate written arrangements before accepting that material. No destructive test cut outside the agreed scope will be undertaken without the customer's authority.

6. Drawings, approvals and changes

6.1 CNC VOX will manufacture using the revision of the drawings and specifications expressly approved for production. The customer must identify critical tolerances, faces, datum references, finishes, orientation and mating parts before production. No particular unstated tolerance or level of finish is promised merely because CNC machining is used.

6.2 Where a customer approves a drawing, model, sample or prototype, that approval identifies the agreed reference for subsequent work. It does not excuse CNC VOX from producing goods or services in accordance with the agreed specification and applicable law.

6.3 Any proposed change after approval, material ordering or production commencement may affect price, required materials and lead time. CNC VOX will obtain agreement to the change and any additional charges before proceeding.

6.4 The customer should inspect delivered goods and advise CNC VOX promptly of any apparent non-conformity, with supporting details where available. Failure to notify within a particular period does not waive rights that cannot legally be excluded.

7. Intellectual property and use of files

7.1 The customer retains ownership of intellectual property it supplies, including its existing drawings, CAD models and product designs. The customer grants CNC VOX permission to use that information to quote for and perform the agreed order and warrants that it is entitled to give that permission.

7.2 CNC VOX retains ownership of intellectual property that existed independently of the customer's project, including its pre-existing methods, know-how, software configurations, machining processes, reusable templates, tooling programs and internal CAM or production files (Background IP). Background IP is not newly commissioned product design IP. Where CNC VOX Background IP is incorporated in an agreed design deliverable, upon full payment CNC VOX grants the customer a perpetual, worldwide, royalty-free, transferable licence to use it to the extent necessary to fully use, modify, manufacture from and commercialise that deliverable. Supplying a finished component does not automatically include delivery of internal production files.

7.3 For Design Services expressly commissioned under the Order Documents, CNC VOX retains ownership of the newly created, project-specific intellectual property until it receives payment in full of all amounts due under the relevant order. Upon full payment, CNC VOX assigns to the customer all of CNC VOX's right, title and interest in that newly created intellectual property, including copyright in agreed design drawings, CAD models and other design deliverables and any other assignable rights in the project-specific design, worldwide for the full term of those rights. The customer may then use, modify, reproduce, manufacture from, commercialise, license and further assign that intellectual property without further permission or payment to CNC VOX. The parties will sign any further documents reasonably necessary to give effect to, or record, that assignment. This clause excludes Background IP under clause 7.2 and third-party rights disclosed and agreed before acceptance; editable or native working files are delivered only where included in the Order Documents.

7.4 Moral rights (including the right to be identified as an author) are personal rights of the individual human creators of copyright works. Those rights remain with the relevant individuals under Australian law even after economic intellectual property is assigned. CNC VOX, as a company, does not claim to own or transfer those moral rights.

7.5 Where CNC VOX engages employees or independent contractors to contribute to Design Services, it will obtain the rights necessary to make the assignment promised in clause 7.3. Any third-party restriction preventing full assignment of the agreed project-specific intellectual property must be disclosed and agreed in the Order Documents before the order is accepted.

7.6 Both parties will use non-public design information received from the other only as reasonably required for the order or as otherwise authorised or legally required.

8. Delivery and on-site works

8.1 Delivery, collection, freight, packaging and any installation or site attendance are only included to the extent stated in the Order Documents. Manufacture and delivery of custom-made components do not, by themselves, include installation, site measurement, site safety management or work at the customer's premises.

8.2 Any estimated completion or delivery date is subject to the accepted order scope, agreed materials and timely provision of required customer approvals. CNC VOX will communicate material changes to an estimate as soon as reasonably practicable and comply with any binding delivery commitment or legal requirement.

9. Australian Consumer Law and liability

9.1 Nothing in these terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

9.2 Where the law permits a limitation for goods or services not ordinarily acquired for personal, domestic or household use, and where reliance on that limitation is fair and reasonable in the circumstances, CNC VOX's liability for a failure to comply with an applicable consumer guarantee may be limited to the remedies permitted by section 64A of the Australian Consumer Law: repair or replacement of goods (or the cost of doing so), or re-supply of services (or the cost of doing so), as applicable. This clause does not apply where such a limitation is not lawful, fair or reasonable.

9.3 The parties acknowledge that responsibility for an underlying customer design, responsibility for materials, responsibility for CNC VOX's manufacture, and responsibility for any separately engaged Design Services are distinct. No provision in these terms relieves either party of liability that applicable law imposes for its own conduct.

10. Governing law and changes

10.1 These terms and an order to which they apply are governed by the laws of Queensland, Australia, subject to applicable Commonwealth law.

10.2 Changes to these published terms apply to future orders only, unless both parties expressly agree in writing to vary an existing order.
